Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Bookodile platform and any related services (collectively, the “Service”), operated by Specific Technologies Inc., a company incorporated in the State of Delaware, USA (“we”, “us”, or “the Company”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By creating an account, you represent and warrant that you meet this requirement.

Bookodile is an online booking platform that enables businesses to accept and manage reservations from their customers. The Service includes:

• Online booking calendar
• Customer and staff management
• Automated email notifications, and text messages (SMS) on a paid plan
• Public booking page
• Analytics and reporting
• AI Chat, an assistant that answers questions and prepares changes you confirm

We reserve the right to modify, suspend, or discontinue any part of the Service at our sole discretion, with or without notice.

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep it up to date.

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute access to the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit any malicious code, viruses, or harmful content
• Violate the rights of others, including intellectual property or privacy rights

We may suspend or terminate your account if you violate these restrictions.

AI Chat's answers are written by an AI model and can be wrong. Check anything important before you rely on it.

• AI Chat changes nothing by itself. A change happens only when you confirm it on its card, and you are responsible for the changes you confirm and for what you choose to tell your customers through it.
• Don't use it to record sensitive information about your customers, such as their health.
• How much you can use it may be limited each day.
• People who manage your business can read their team's chats, as our Privacy Policy describes.

Bookodile is free within the limits published on our pricing page. Beyond them, a paid plan costs a base price per branch plus a price per active booking spot, as published there for your country. Every feature is included in every plan.

• Payments are processed by Stripe, which acts as the merchant of record for your subscription.
• Text messages (SMS) need a paid plan. They are billed monthly, after they are sent, at the published price per country, and capped each month at what you pay for your plan.
• We give reasonable notice before a price that applies to you changes.

All fees are non-refundable except where required by applicable law. You are responsible for any applicable taxes associated with your use of the Service.

You may cancel your account at any time. Cancelling ends the plan; on its own it does not erase what you have stored. Ask us to delete your data and we do so within 30 days, other than records we have to keep for accounting or to defend a legal claim.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

All rights, title, and interest in and to the Service — including its software, design, content, and trademarks — are and remain the exclusive property of the Company.

You retain ownership of any data you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide and improve the Service.

When you use Bookodile to manage bookings, you act as the data controller for your customers' personal data under applicable data protection laws (including the EU General Data Protection Regulation). Specific Technologies Inc. acts as a data processor on your behalf, processing customer data solely to provide the Service in accordance with Article 28 GDPR.

By using the Service, you agree to the following data processing terms, which serve as the Data Processing Agreement (DPA) between you and Specific Technologies Inc.:

• We process your customers' data only on your documented instructions and solely to provide the Service.
• We implement appropriate technical and organizational security measures to protect personal data.
• We do not sell, share, or use customer data for our own purposes beyond providing the Service.
• We assist you in fulfilling data subject requests (access, correction, deletion) upon request.
• We notify you without undue delay if we become aware of a personal data breach.
• We engage sub-processors only with your general authorization; the current list is available in our Privacy Policy. We tell you before adding or replacing one, and you may object.
• Everyone at Specific Technologies Inc. who can access personal data is bound by confidentiality.
• We help you, where you need it, with security, data protection impact assessments and consulting a supervisory authority.
• When you stop using the Service, we delete your customers' data on request, or return it to you, unless the law requires us to keep it.
• We make available the information you need to check that we meet these obligations.
• AI Chat sends what it needs to answer to the AI providers listed in our Privacy Policy, with zero data retention. Your customers are referred to by a reference, never by name.
• We use privacy-friendly product analytics and error-tracking tools (currently PostHog, hosted in the EU) to operate, secure, and improve the Service. This processing is subject to your visitors' cookie consent where required, and analytics is not loaded until consent is given.

As the data controller, you are responsible for obtaining proper consent from your customers where required, providing them with a privacy notice, and complying with applicable data protection laws. Bookodile provides tools (such as GDPR consent checkboxes) to help you meet these obligations, but compliance ultimately remains your responsibility.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

We are not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, or government actions.

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service or your violation of these Terms.

We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this page and notify you via email or an in-app notice. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

• If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• We may assign our rights and obligations under these Terms without your consent. You may not assign yours without our prior written consent.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
